Levy founded the day on February 17, 2003, to celebrate the human spirit and promote positivity and empowerment. The foundation of the book is from the Kabbalah school of religious thought and offers a perspective on mind, body and soul that allows the reader to think about the simplest answers of life that lie within us. The holiday aims to encourage mindfulness through meditation and to feel content with whatever we are blessed with.

    Spirit Airlines rejects another Frontier Airlines acquisition worth $2.16B

    • Spirit Airlines rejected an acquisition offer worth about $2.16 billion from Frontier Group.
    • Spirit and Frontier have been in merger talks since at least 2022, even before Spirit filed for bankruptcy in 2024.
    • Spirit Airlines filed for bankruptcy due to prolonged periods of financial losses and a substantial debt load.

    Spirit Airlines on Tuesday rejected Frontier Group’s acquisition offer, worth about $2.16 billion, saying the bid from its fellow ultra-low-cost carrier was less beneficial to shareholders than its ongoing reorganization plan.

    Frontier’s offer was a reiteration of its proposal from earlier this month in which it proposed Spirit’s shareholders would get $400 million in debt and a 19% stake in Frontier.

    However, it dropped a requirement that Spirit complete a $350 million equity rights offering and use the proceeds to retire its debtor-in-possession facility. It also requires the bankruptcy court-approved $35 million termination fee be waived.

    Spirit, which filed for bankruptcy protection last year and expects to complete its restructuring in the first quarter, said the revised proposal did not address certain material risks and issues it had previously identified.

    Instead, the Florida-based airline offered a counterproposal in which Spirit shareholders would get $600 million in debt and $1.185 billion in equity — which Frontier rejected.

    The two companies had been in merger talks since at least 2022, even before Spirit filed for bankruptcy due to prolonged periods of financial losses and a substantial debt load.

    However, JetBlue Airways jumped into the fray and prevailed. But that deal was scrapped after a U.S. judge blocked it on anti-competition concerns.

    Frontier revived its takeover efforts earlier this year, but Spirit had said the first offer was inferior to the one the two companies had discussed last year and sought an assurance that the deal would close and Frontier would not walk away.

    Just in time for Valentine’s Day, states that currently prohibit shipping alcoholic beverages to family and friends are working to change one of America’s last remaining “blue laws.”

    Delaware, Mississippi and Utah all prohibit direct shipment of wine, with several other states enforcing varying restrictions.

    Utah is considered a “felony state” in terms of liquor transit, with one of the only loopholes being a one-quart allowance of brandy from a resident returning from abroad.

    In Delaware, the local winery industry is being unduly burdened by similar laws.

    “Delaware is one of three states in the country that still allows no direct shipment of alcohol,” said state Rep. Jeff Spiegelman, R-Townsend.

    “This would enhance small business. It would enhance an agricultural product, and it would allow consumers to get the products that they’re demanding. They are demanding the service. And we’re planning on giving it to them,” he said in a video statement.

    Spiegelman pointed to Harvest Ridge Winery in Marydel, Del., which by its name denotes its location on the state line.

    Maryland customers are able to ship their wine, but Delawareans can’t under the law.

    The lawmaker said the misconception with prohibitions like the First State’s is that opening up the shipping market would let bulk amounts of liquor proverbially flow freely around the state via Amazon and other retailers.

    But the 47 other state test-cases show that is not accurate.

    State Rep. Mike Smith, the sponsor of the legislation, said he hopes to put it forward in session very soon – and is encouraged that the “changing of the guard” in Dover will give it a good chance of passing.

    Delaware Gov. Matt Meyer did not respond to a request for comment, but did replace term-limited fellow Democrat John Carney. Additionally, the leadership of Delaware’s Democratic legislative majority changed with the new year.

    “I think everybody’s coming at it from ‘This is the best deal we’re going to get. Let’s do it,’” said Smith, R-Hockessin.

    New House Speaker Melissa Minor-Brown, D-New Castle, did not respond to a request for comment.

    Smith’s district abuts Oxford, Pa., and the lawmaker said he sees many customers from the Keystone State able to ship Delaware wine to their homes without issue as well.

    Pennsylvania has had its own stringent liquor laws for decades, since former GOP Gov. Gifford Pinchot set the stage for its state-store system in the early 20th century. 

    Only in 2016 did Harrisburg move to allow wineries to ship limited quantities of wine – so long as they obtain a license and pay excise taxes. All other liquor must be purchased from government-run Fine Wine & Good Spirits stores. 

    Supermarkets in the state also only recently found themselves allowed to sell beer.

    During the coronavirus pandemic shutdown, a Naaman’s Corner, Del., booze superstore saw such a surge in Pennsylvanian customers locked out of their own shuttered state-run alcohol retailers – and slipping the few hundred yards across the state line – to the point that Delaware police began stopping out-of-state vehicles near the shopping center.

    The disparity in booze-shipping and -purchasing laws – and movements to change them to mirror the rest of the country – are not unique to the northeast, as Mississippi lawmakers told Fox News Digital on Friday.

    A spokesperson for the Tupelo State’s House Speaker Jason White, R-Kosciusko, said the chamber passed a bill in 2024 similar to Delaware’s planned legislation.

    That effort died in the state Senate, but the spokesperson said the House plans to try again this session. The Mississippi plan would permit the direct shipment of wine – excluding liquor – and cap the amount of units per household. The state Senate reportedly has drafted a similar bill that gives proponents hope.

    Meanwhile, Steve Gross, vice president of state relations for the Wine Institute, said the advocacy group is “very supportive” of efforts to pass “direct-to-consumer wine-shipping law[s]. . . .”

    “We appreciate the work of these legislators to provide this choice to the citizens of Delaware.”

    Frontier Airlines’ attempt to buy rival Spirit Airlines failed yet again. 

    Spirit Airlines, which filed for Chapter 11 bankruptcy protection late last year, rejected another bid from the airline’s parent, Frontier Group Holdings, saying it would not provide sufficient value to the airline. Spirit also raised concerns over the deal’s potential to secure regulatory and court approvals, according to a Wednesday regulatory filing. 

    Under Frontier’s proposed deal submitted on Jan. 7, stakeholders would have acquired $400 million in debt and attain a 19% stake in Frontier after the merger. The deal would also have required certain stakeholders to go through a $350 million stock offering to help pay the company’s debt. The funds left over would go to the combined company’s balance sheet.

    SPIRIT TERMINATES MERGER WITH FRONTIER AIRLINES

    The parties involved “determined that the Proposal would deliver less in value to the Company’s stakeholders than what was contemplated by the Company’s existing Plan,” the regulatory filing said. “The Company continues to advance through its restructuring process, which will significantly deleverage the Company and position it for long-term success,” Spirit said in the filing.

    The company, barring any new developments, will not delay its plans to emerge from Chapter 11 during the first quarter of 2025.

    The carrier first filed for bankruptcy protection in November to reduce the company’s total debt and provide increased financial flexibility. Spirit’s multiple failed mergers – one with Frontier and another with JetBlue – left the ultra-low-cost carrier in a bind after repetitive quarterly losses.

    The company reportedly attempted to reignite potential merger talks with Frontier Airlines last year, after the airline was outbid by JetBlue.

    In 2022, Frontier and JetBlue had been in a monthslong bidding war for Spirit after Frontier Group Holdings and Spirit announced a definitive merger agreement. JetBlue won with its enticing bid worth $3.8 billion.

    However, in January 2024, the deal with JetBlue was blocked by regulators over concerns that the deal would hurt the availability of low-cost air travel tickets.

    Spirit announced plans last fall to sell multiple aircraft and lay off workers as it tried to raise cash and revive operations. It also said it identified approximately $80 million in annualized cost reductions that it plans to implement in 2025.

    Spirit Airlines not allowing passengers with inappropriate clothing, tattoos to fly

    Spirit Airlines has updated its policy to include a stricter dress code for passengers.

    The update, which became effective on Jan. 22, says a passenger can be denied boarding or removed from a flight because of their clothing or offensive tattoos.

    The additions to the contract now specify that passengers who are inadequately clothed, such as wearing see-through clothing that exposes breasts, buttocks, or other private parts, are subject to being grounded.

    The contract also makes clear that passengers may not be barefoot, which is a policy on other airlines as well. Another addition to Spirit’s policy, the appearance of offensive tattoos, is not a common cause for removal.

    The new policy comes after clothing infractions have reportedly caused issues for some Spirit passengers.

    In October of last year, two women were removed for wearing crop tops on the airline. Last week, a man from Texas was removed from a Spirit flight for wearing what was deemed an offensive hoodie. The passenger eventually removed the article of clothing but was still escorted from the plane.
